STADIUM MERCH SCOUT TEAM AMBASSADOR AGREEMENT
This agreement describes the terms and conditions for participation in the Scout Team Ambassador Program. The terms “Scout Team Ambassador,” “you,” and “your” are referring to you, the applicant. “We”, “our”, “us” refer to Stadium Merch.

AGREEMENT DURATION
This agreement will begin upon our acceptance of your ambassador application and will end when terminated by either party in writing. Becoming a Scout Team Ambassador does not establish any legal or financial relationship with Stadium Merch. We reserve the right to terminate an ambassador’s position at any time, with or without reason, by giving the other party written notice of termination.

PERSONAL CODE USAGE
As a Scout Team Ambassador, we provide a personalized code for you to share and have your referrals use with their purchase. This code is not to be shared on public coupon/discount websites.

GENERAL INFO
As a Scout Team Ambassador, your primary responsibility is scouting and recruiting student-athletes to sign up and drop merch on our service. We are looking for individuals passionate about college sports and eager to help student-athletes capitalize on their Name, Image, and Likeness (NIL). By becoming a Stadium Merch Scout Team Ambassador, you will be representing a brand that empowers college athletes to monetize their brand through merch collections.

In addition to your primary responsibility, we also ask our ambassadors to:

- Reach Out: Engage with friends, family, and acquaintances via social media and word of mouth to educate them on our brand & mission.
- Promote Our Brand: Actively promote our social networks (Instagram, Facebook, Twitter, etc.).
- Stay Active: Post a minimum of once a week on social media promoting Stadium Merch.
- Expand the Team: Recruit new, like-minded ambassadors to join the Stadium Merch Scout Team.
- Drive Sales: Help drive sales to StadiumMerch.com through the use of social media, word of mouth, and any other reasonable means.

COMPENSATION
As a Scout Team Ambassador, you will earn a commission on all sales generated using your unique referral code. Commissions will not be paid on returned goods/canceled orders. You will be able to track commissions and payout via your Scout Team Ambassador Dashboard.

SOCIAL MEDIA CONTENT
As a Scout Team Ambassador, we expect you to represent our brand in good taste. We encourage you to be unique and creative when posting and sharing.

RESTRICTIONS ON CREATING OR SHARING CONTENT ASSOCIATED WITH STADIUM MERCH NAME/PRODUCTS/GEAR:
- X-rated and promote sexually explicit materials
- Promoting violence and/or drug use
- Promoting discrimination based on race, sex, religion, disability, sexual orientation, or age
- Promoting illegal or questionable activities
- Violating intellectual property rights

Not following any of the above terms will lead to immediate code deactivation and removal from the Stadium Merch Scout Team program.

INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Stadium Merch, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your ambassador account (including negligent or wrongful conduct) by you or any other person accessing the site using your ambassador account.

LIMITATION OF LIABILITY
Stadium Merch shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if Stadium Merch has been advised of the possibility of such damages.

REPRESENTATION
You confirm that all promotional methods you use will reflect positively on the Stadium Merch brand. You cannot use misleading or deceptive advertising or marketing practices. Any misrepresentation can result in immediate termination of this agreement.

CONFIDENTIALITY
Any information related to Stadium Merch that is not publicly known should be considered confidential. You agree not to disclose any confidential information or use it for any purpose other than to fulfill your obligations under this agreement.

TERMINATION
Stadium Merch reserves the right to terminate your participation in the Scout Team Ambassador Program for any conduct that we, in our sole discretion, believe is harmful to other users, third parties, or the company, or for any breach of this agreement. Upon termination, you will lose access to any information or resources associated with the program, and Stadium Merch may delete any content or information that you have submitted.

GOVERNING LAW
This agreement and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of [Your State/Country].

CHANGES TO TERMS AND CONDITIONS
You can review the most current version of the Terms & Conditions at any time on this page. We reserve the right to update, change, or replace any part of these Terms & Conditions by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes.

INDEPENDENT CONTRACTOR
Your relationship with Stadium Merch is that of an independent contractor, and nothing in this agreement is intended to, or should be construed to, create a partnership, agency, joint venture, or employment relationship.

DISPUTE RESOLUTION
Any dispute arising from this agreement will be resolved through mediation. If the dispute cannot be resolved through mediation, then the dispute will be resolved through binding arbitration conducted in accordance with the rules of [Relevant Arbitration Association].
